<h3>Corporate Counsel</h3> <p><strong>Job Type:</strong> Contractor<br><strong>Location:</strong> Remote<br><strong>Work Schedule:</strong> Part-time/ Full Time</p> <h4>Job Overview</h4> <p>We are seeking experienced <strong>Corporate Counsels</strong> with strong in-house experience in technology transactions. You will apply your expertise in <strong>contract drafting, negotiation, redlining, and playbook development</strong> to review and evaluate AI-generated legal content.</p> <p><strong>No prior AI experience is required.</strong></p> <h4>Key Responsibilities</h4> <ul> <li> <p>Perform contract drafting, redlining, and simulated negotiations.</p> </li> <li> <p>Review MSAs, NDAs, DPAs, and other technology agreements.</p> </li> <li> <p>Evaluate AI-generated contract analysis and provide expert feedback.</p> </li> <li> <p>Develop playbooks, evaluation frameworks, and grading criteria for contract tasks.</p> </li> <li> <p>Identify legal risks, inconsistencies, and areas for improvement.</p> </li> <li> <p>Collaborate with legal, product, and research teams remotely.</p> </li> </ul> <h4>Required Qualifications</h4> <ul> <li> <p>J.D. from an ABA-accredited law school.</p> </li> <li> <p>Active bar admission in at least one US jurisdiction.</p> </li> <li> <p><strong>3+ years of in-house experience</strong> focused on technology transactions.</p> </li> <li> <p>Strong experience negotiating <strong>MSAs, NDAs, DPAs</strong>, and related commercial agreements.</p> </li> <li> <p>Excellent contract drafting, redlining, negotiation, and communication skills.</p> </li> <li> <p>Strong analytical skills and attention to detail.</p> </li> <li> <p>Ability to work effectively with cross-functional teams.</p> </li> </ul> <h4>Preferred Qualifications</h4> <ul> <li> <p>Experience with AI, legal technology, or legal content evaluation.</p> </li> <li> <p>Corporate law firm experience in M&A or private equity fund formation.</p> </li> <li> <p>Experience developing legal playbooks or review frameworks.</p> </li> </ul>- Location Hamilton, ON
